Service Brands

Conflict of Interest Policy
of Continuum Companies, Inc. and affiliated brands
Article I – Purpose
- CONTINUUM Companies, Inc. (CONTINUUM) is committed to maintaining integrity and transparency in its business operations, especially regarding the engagement of vendors or contractors under common ownership or control. In line with that commitment, this is an internal conflict of interest and competitive pricing policy to address and mitigate potential conflicts of interest and ensure that our pricing practices are competitive and fair. This policy outlines the procedures and guidelines to ensure transparency and fairness in our dealings with customers.
- The purpose of this policy is to govern disclosures of potential conflicts of interest that may arise within CONTINUUM and its portfolio companies when engaging Affiliated Brands that are part of CONTINUUM’s corporate structure or under the direct or indirect control of CONTINUUM or its executives.
Article II – Definitions
- Affiliated Brands. Any company that is under common ownership by CONTINUUM (intermittently phrased as affiliated companies, affiliated entities, or portfolio companies).
- Material Connection. Any relationship between CONTINUUM and its portfolio companies or between CONTINUUM and external entities or individuals that could influence business decisions. This includes relationships that involve common ownership, financial interests, or family ties.
- Market-Based Pricing. The pricing of services or goods that is consistent with the current market value as determined by regular analysis of what other businesses charge for similar services or goods within the same industry and geographic region.
- Competitive Bidding. A procurement process where several vendors or contractors are invited to submit bids for the opportunity to fulfill a contract for services or goods. The process is initiated to ensure that CONTINUUM obtains the best possible price by fostering competition.
- Conflict of Interest. A situation in which an individual or entity has competing interests or loyalties. A conflict of interest arises when individuals within CONTINUUM or its Affiliated Brands face a situation where personal and/or corporate interests, personal and/or corporate relationships, or financial gains could potentially conflict with fiduciary duties to the company or duties to its customers. This includes but is expressly not limited to scenarios where a CONTINUUM-owned property management company may choose to hire a maintenance or service company that is also under the umbrella of CONTINUUM-owned companies.
- Authorized Persons. Individuals or a group within CONTINUUM or an Affiliated Brand who are given the power or authorized to make decisions on behalf of CONTINUUM or an Affiliated Brand. This typically includes officers, members of the board of directors, or any committee members vested with decision-making authority by CONTINUUM’S board or CEO.
- Formal Written Action. A documented decision or policy change that is recorded in writing and requires approval or ratification by authorized persons within CONTINUUM.
- Officer or Executive. A person holding a position of authority within CONTINUUM, such as a President, Vice President, Chief Executive Officer, Chief Financial Officer, Chief Investment Officer, Treasurer, Secretary or any other position designated as an officer of the company by the board of directors.
Article III – Disclosure and Transparency
CONTINUUM is dedicated to upholding transparency and fostering trust with our customers. As part of our commitment to this principle, CONTINUUM will provide notice of potential material connections with affiliated companies. This notice will not only be accessible through a disclosure on CONTINUUM’s official website but may also be included in an annual notice to our customers. This annual notice can be enclosed with periodic invoicing, proposals, management reports, website updates, and/or management contracts ensuring that all customers are generally well-informed about the relationships between CONTINUUM and its affiliated entities. Through this dual approach, we aim to provide our customers with easy access to relevant information, thus enabling them to make informed decisions regarding our services.
Article IV – Scope
- This policy applies to all transactions and arrangements entered into by CONTINUUM or its portfolio companies, particularly those involving vendors or contractors under common ownership or control with CONTINUUM or its executives.
- This policy applies to all employees, officers, and directors of CONTINUUM, and its Affiliated Brands encompassing all transactions, especially those involving vendor selection and customer relations.
- This policy is intended to supplement, but not replace, any applicable state and federal laws governing conflicts of interest and competitive pricing.
Article V – Conflicts of Interest
- The Commitment. To safeguard the integrity of CONTINUUM’s operations and maintain the trust of our customers by preventing collusion, price fixing, and any actions that may mislead or confuse customers or misrepresent costs and services.
- Disclosure Policy. In connection with any actual or possible conflict of interest, any CONTINUUM employee or agent should disclose verbally or in writing to an Authorized Person the existence of the potential conflict and, specifically, indicate whether the conflict: a. amounts to misrepresentation, b. is likely to cause customer confusion, or c. affects a public interest.
- Further Actions. In the event that a conflict of interest is either undisclosed or materially mismanaged, CONTINUUM will evaluate the applicability of corrective measures as outlined in the employee manual guidelines, which are to be followed in the ordinary course of business.
Article VI – Vendor Selection and Pricing
- Vendor Selection. All vendor selection decisions will adhere to objective criteria, ensuring that the chosen vendors display standards of quality, offer value-based solutions, possess the necessary expertise, and align with the commercially reasonable needs of our customers. This approach applies equally to all vendors, including those with potential common ownership or affiliations with CONTINUUM or its subsidiaries. For vendors that share common ownership or are controlled by CONTINUUM, its affiliates, or employees, a thorough evaluation process will be enacted. This process mandates that such vendors present appropriate licensing (where applicable) and insurance coverage. Additionally, their selection will be contingent upon a demonstrated capacity to fulfill the requirements of the specific project or service, assessed without preferential treatment based on the existing relationship.
- Market Pricing. CONTINUUM is committed to ensuring that pricing by CONTINUUM and its Affiliated Brands is aligned with the commercially reasonable range of market standards and reflects the current range of market dynamics. Regular market analysis will be a cornerstone of our pricing strategy to maintain transparency and fairness in our pricing.
- Competitive Bidding. Competitive bidding processes may be utilized at the sole discretion of CONTINUUM and its Affiliated Brands, which may include careful assessments of project scopes, taking into account factors like the scale of the project or its strategic value, available customer bidding policies, when such a process is considered essential to provide services or products.
Article VII – Enforcement
In the event that a conflict of interest is identified per Article II Section 5 of this policy, an officer or executive of the Affiliated Brand may draft a detailed written explanation of the deviation to the customer. This document may articulate the nature of the transaction, explain the reasons for the deviation, and provide a brief summary of the contemplated transaction arrangement for the customer’s review and ratification; provided that, such a summary may be in the form of an invoice, email, or purchase order form.
Article VIII – Policy Review and Update
This policy is dynamic and will be reviewed periodically at the sole discretion of CONTINUUM to reflect changes in business practices, legal requirements, or market conditions. Any amendments to the policy will be communicated promptly to all relevant parties.
Article IX – Policy Implementation
CONTINUUM will ensure that all applicable employees and affiliates are trained on this policy and understand the importance of its provisions. Those designated as Authorized Persons will oversee the implementation of this policy.
First Call Maintenance Disclosure
Effective Date: June 1, 2026
Introduction
This Maintenance Services Disclosure (—Disclosure—) is provided by Continuum Companies, Inc. and its affiliated property management brands (collectively, —Continuum—) to all current and prospective clients (—Clients—) who engage our affiliated brands for property management services, to inform them of the availability and use of maintenance services delivered through the First Call platform.
About First Call
First Call is a maintenance services platform operated by Continuum’s affiliated property management brands. It is designed to support the operational needs of client communities through a structured combination of in-house personnel and qualified third-party subcontractors.
All subcontractors engaged through the First Call platform are vetted and insured. Vendors are selected based on experience, service reliability, and alignment with community association standards.
Client Benefits
Continuum leverages its scale across its portfolio of managed communities to deliver maintenance services through First Call that provide the following benefits to Clients:
- A coordinated and centralized maintenance solution for general community needs
- Portfolio-based purchasing efficiencies that reduce per-community costs where applicable
- Defined service standards and response expectations
- Administrative oversight and quality control through the Continuum platform
- Budget-conscious, value-driven maintenance options
First Call Services
First Call services include, but are not limited to, the following:
- Handyman & General Repairs
- General Carpentry
- Cleaning & Janitorial
- Pest Control
- Preventative Maintenance Programs
- Life Safety & Compliance Coordination
- Minor Plumbing & Electrical
- Common Area Repairs
- Vendor Coordination & Project Oversight
- Other Qualified Trade Services
Subcontractor Engagement
First Call may engage third-party subcontractors to perform maintenance services on behalf of client communities. While subcontractors are independent contractors, when subcontractors are utilized, First Call retains responsibility for coordinating the scope of work, scheduling, and oversight of the engagement. First Call serves as the contracting party with such subcontractors, and Clients are invoiced directly by First Call for all services rendered, whether performed by in-house personnel or subcontracted trade professionals.
First Call maintains discretion in the selection and assignment of subcontractors based on the nature of the work, availability, geographic coverage, and quality standards.
Remuneration Disclosure
Clients are billed for maintenance and related services as applicable from vendors enrolled in our First Call program. Continuum and its affiliated property management brands may receive compensation associated with the coordination and delivery of these services.
In addition, First Call operates a Preferred Vendor Program through which it establishes relationships with qualified vendors and service providers. Participation in the Preferred Vendor Program is optional, and Clients may elect to use vendors outside of the program. Through this program, First Call may receive administrative fees, program fees, and remuneration derived from group purchasing arrangements. A separate disclosure regarding the terms and structure of the Preferred Vendor Program will be provided to Clients.
Client Rights
Usage of First Call services is optional. Communities retain the right to select alternative maintenance service providers at their discretion. There are frequently other maintenance service providers available with similar services, and Clients are free to solicit competitive proposals for any maintenance need.
Ongoing Program Review
Continuum is committed to maintaining a First Call platform in which the services, pricing, and vendor quality are competitive and beneficial to Clients. In alignment with Continuum’s Conflict of Interest Policy, the First Call program and its vendor relationships are periodically reviewed to ensure transparency and consistency with market-based standards.
Acknowledgement
By engaging Continuum or any of its affiliated property management brands for property management services, each Client acknowledges that it has read and understands this Disclosure, has had the opportunity to ask questions, and consents to the arrangements described herein, including the use of affiliated service platforms and vendor relationships. This Disclosure does not modify any existing management agreements between Continuum and its Clients.
Additionally, Client acknowledges that Continuum reserves the right to modify, update, or discontinue the First Call platform, including vendor participation, pricing structures, and service offerings, upon reasonable notice to Clients.

First Call Preferred Vendor Disclosure

Introduction
This Preferred Vendor Program Disclosure (—Disclosure—) is provided by Continuum Companies, Inc. and its affiliated property management brands (collectively, —Continuum—) to all current and prospective clients (—Clients—) who engage our affiliated brands for property management services, in connection with the First Call Preferred Vendor Program (the —Program—). This Disclosure supplements the First Call Maintenance Services Disclosure Statement and should be read in conjunction with it.
About the Preferred Vendor Program
The Program is operated as a component of the First Call platform, which serves as the centralized coordination and service delivery mechanism for maintenance and vendor services. The Program is designed to leverage Continuum’s collective scale of spend across its portfolio of managed communities to negotiate reduced costs, improved service terms, and enhanced service quality from qualified vendors and contractors. From time to time, Continuum may recommend or utilize preferred vendors or contractors for maintenance, construction, and related services. Preferred vendors are selected based on a combination of experience, pricing, quality, reliability, and capacity to service Continuum’s portfolio at scale.
Program Benefits
The Program is intended to deliver the following benefits to Clients:
- Negotiated bulk subcontractor rates in an effort to reduce per-community service costs
- Improved response times through pre-established vendor relationships and service-level commitments
- Consistent service quality through standardized scopes of work and performance expectations
- Simplified vendor selection and oversight through a pre-approved partner network
- Centralized reporting and vendor performance tracking across the portfolio
- Reduced administrative burden on community boards and property managers in sourcing, managing, and troubleshooting vendor relationships
Vendor Selection and Standards
Vendors admitted to the Program are subject to a qualification process that evaluates licensing and insurance compliance, service history and references, pricing competitiveness, geographic coverage and capacity, and alignment with community association standards. Continuum periodically reviews the performance and standing of Program vendors to ensure continued compliance with these standards. While Continuum conducts qualification and periodic review of Program vendors and maintains ongoing relationships with participating vendors, all vendors remain independent contractors solely responsible for the performance of their services. Continuum does not guarantee the performance, quality, or outcomes of any vendor’s work; however, if a Client experiences an issue or adverse outcome in connection with a vendor’s services, Continuum will use commercially reasonable efforts to work with the Client and vendor to help facilitate a resolution or otherwise address the matter. Continuum shall not be liable for any acts, errors, omissions, or failures of such vendors.
Common Ownership Disclosure
The Program is operated by brands of Continuum Companies, Inc., that are under common ownership or control. In certain cases, vendors participating in the Program may also be affiliated with or under common ownership or control with Continuum Companies, Inc. We understand that such arrangements could potentially lead to a conflict of interest without adequate policies in place to mitigate such a possibility. To address this, Continuum has implemented internal policies and procedures designed to ensure that participation of any affiliated vendors in the Program is in the best interest of our Clients and does not compromise the quality or value-effectiveness of the services provided. Remuneration Disclosure
Due to the purchasing volume and scale of services coordinated through the Program, Continuum and/or its affiliated property management brands will receive economic benefits from participating vendors, that may include, but shall not be limited to:
- Volume-based discounts or rebates on services procured through the Program
- Administrative fees for vendor onboarding, qualification, compliance management, and program administration
- Program fees from vendors for participation in and access to the Continuum portfolio
- Remuneration derived from group purchasing arrangements, including negotiated pricing differentials
Such remuneration supports the operational infrastructure of the Program, including vendor vetting, performance oversight, centralized purchasing coordination, and the administrative systems that deliver portfolio-wide buying power to Clients.
Client Rights
Participation in the Program is optional. Clients are not required to use any preferred vendor as a condition of their management agreement or their use of First Call services. Communities retain the right to select vendors and contractors of their choosing for any maintenance, construction, or related service need. There are frequently other service providers available with similar services, and Clients are free to solicit competitive proposals at their discretion.
Ongoing Program Review
Continuum is committed to maintaining a Program in which vendor pricing, service quality, and program terms are competitive and beneficial to Clients. In alignment with Continuum’s Conflict of Interest Policy, the Program and its vendor relationships are periodically reviewed to ensure transparency, accountability, and consistency with market-based standards.
Vendor Enrollment Requirement
Participation in the Program is contingent upon the vendor’s execution of a separate written form enrollment agreement (—Vendor Enrollment Agreement—) with Continuum, or equivalent document as determined by Continuum, and any vendor subject to a termination will pay any and all sums owed thereunder within five (5) business days.
Acknowledgement
By engaging Continuum or any of its affiliated property management brands for property management services, each Client acknowledges that it has read and understands this Disclosure, including the existence of financial relationships and potential conflicts of interest, has had the opportunity to seek independent advice, and consents to the arrangements described herein. This Disclosure does not modify any existing management agreements between Continuum and its Clients. Additionally, Continuum reserves the right to modify, suspend, or terminate the Program, including vendor participation, fee structures, and program terms, upon thirty (30) days notice to Clients.

Financial Services Disclosure
Effective Date: June 1, 2025
Introduction
This Financial Services Disclosure (—Disclosure—) is provided by Continuum Companies, Inc. and its affiliates (collectively, —Continuum—) to all current and prospective clients (—Clients—) who engage our affiliated brands for property management services.
Financial Services Relationships
Continuum has established relationships with various financial institutions (—Financial Partners—) to provide financial management and banking services to Clients, including but not limited to treasury management, banking services, payment processing and lending facilitation. Through these relationships, Continuum may receive remuneration as described herein for providing services to the bank on behalf of clients.
Business Rationale and Client Benefits
Continuum leverages its scale in the marketplace to secure enhanced products and services with financial institutions that provide the following benefits: creating economies of scale that benefit Clients, operational efficiency, fraud mitigation and integration with technology systems. This remuneration allows Continuum to reduce the overall cost of management services while maintaining competitive positioning and service quality.
Remuneration Disclosure
Continuum designates the financial institution for Client operating accounts as a component of management services. Remuneration is paid to Continuum for the work done to assist the bank in the management and administration of such financial and banking services.
For reserve accounts, where Clients retain the right to select their preferred financial institution, Continuum may receive percentage-based remuneration on average collected balances and/or one-time placement fees for certificates of deposit. Additionally, Continuum may receive facilitation fees from lending institutions for loans procured on behalf of Clients, calculated as a percentage of the loan amount, which are specifically disclosed to the Client prior to loan closing.
Ongoing Program Review
Continuum is committed to fostering Financial Partner relationships in which the services and rates are competitive and beneficial to Clients. In alignment with the Conflict of Interest Policy, these relationships are periodically reviewed to ensure transparency and consistency with market-based standards.
Limitation of Continuum’s Responsibilities
Continuum shall not be responsible for determining whether a Client association’s governing documents require specific authorization procedures, whether a particular board action complies with the association’s governing documents, or whether individual board members have fulfilled their fiduciary duties. Absence of formal board approval shall not be construed as invalidating any banking services provided at the direction of the Client association’s authorized representatives.
Acknowledgement
By engaging Continuum for property management services, each Client acknowledges receipt of this Disclosure and consents to the remuneration arrangements described herein. This Disclosure does not modify any existing agreements between Continuum and its Clients.

Insurance Disclosure

Introduction
This Insurance Disclosure (—Disclosure—) is provided by Continuum Companies, Inc. and its affiliates (collectively, —Continuum—) to all current and prospective clients (—Clients—) who engage our affiliated brands for property management services. Continuum is committed to acting in the best interests of its Clients in connection with the services described herein, consistent with applicable law and the terms of its agreements with such Clients. Our mission is to protect your community’s interests, understand your insurance needs, and act with integrity and competence.
Insurance Relationships
Continuum, through its affiliated insurance entity (currently operating as ProtectionEdge Services, Inc.), has established relationships with various insurance brokers and carriers (—Insurance Partners—) to provide insurance placement, advisory, and related services to Clients. These relationships may include co-brokered arrangements, where Continuum partners with third-party insurance brokers to access broader markets, specialized expertise, and competitive insurance solutions for community associations as a benefit to our Clients.
Business Rationale and Client Benefits
Continuum leverages its scale and network to deliver enhanced insurance solutions that are designed to provide the following benefits to Clients:
- Expanded access to insurance carriers and markets
- Competitive pricing through structured bidding and broker selection
- Coverage options tailored to community association needs
- Claims and ongoing service support
- Operational efficiency through centralized processes and system integration
By coordinating insurance placements across its network, Continuum seeks to offer competitive premiums to the associations while providing high-quality service standards, appropriate coverages, and specialized insurance advisory services for our Clients.
Remuneration Disclosure
ProtectionEdge Services, Inc., a subsidiary of Continuum, may receive financial remuneration in connection with the placement, servicing, and renewal of insurance policies for Clients.
This remuneration may include, without limitation:
- Commissions paid by insurance carriers
- Fees or revenue sharing received from or paid to broker partners in co-brokered arrangements
- Administrative, program management, or service-related fees
- Other forms of compensation related to insurance placement, servicing, or renewal
The amount and structure of such remuneration may vary depending on a number of factors, including the insurance carrier, product type, policy terms, market conditions, and the nature and scope of services provided. As a result, Continuum and its affiliates may have a financial incentive in connection with the selection of certain insurance products, carriers, or Insurance Partners.
Clients are not required to utilize Continuum’s affiliate or any Insurance Partner and may select any insurance broker, carrier, or advisor of their choosing. Continuum will reasonably cooperate with such third-party providers. Continuum is committed to maintaining Insurance Partner relationships that are competitive, transparent, and aligned with Client interests.
Limitation of Continuum’s Responsibilities
Continuum does not act as the insurer and does not guarantee coverage, pricing, or claims outcomes. Final insurance decisions, including coverage selection and approval, remain the responsibility of the Client and its governing board.
Acknowledgement
By engaging Continuum or any of its affiliates for property management and/or related services, each Client (i) acknowledges receipt of this Disclosure, (ii) understands the nature of the relationships and remuneration described herein, including potential financial incentives, and (iii) consents to such arrangements described herein. This Disclosure does not modify any existing agreements between Continuum and its Clients.
